Our panel will discuss the recent SEC comment letter trend, including segment reporting and non-GAAP disclosures, as well as current highlights on SEC developments for Pay vs. performance proxy disclosures, the “clawback” rule, and updates on ESG and enforcement.

Speakers:

Jeremy Pendrey
Jeremy is an Assistant Regional Director with the Asset Management Unit of the Enforcement Division of the U.S. Securities and Exchange Commission.  The Asset Management Unit investigates and prosecutes securities laws violations by investment advisers, such as advisers to mutual funds, hedge funds, private equity funds, and retail advisers.  Jeremy supervises asset management industry investigations primarily involving firms in Northern California and the Pacific Northwest.  He also supervises some additional enforcement investigations involving issuer and accounting fraud, insider trading, offering fraud, and other violations.  Before his almost 18 years with the Commission staff in San Francisco, Jeremy was a litigation partner with a law firm in Los Angeles.  Jeremy received his bachelor’s and law degrees from UCLA.

Kenny Li
Kenny is a senior audit manager in the San Francisco office of Grant Thornton. He has more than 10 years of experience in serving clients in variety of industry sectors including software/SaaS, manufacturing, mortgage banking, and not-for-profit. 
Kenny has served clients in both private and public sectors with experience in multilocation/global integrated audits, internal controls audits, ASC 606 implementation audits, and SEC registration statements. Kenny has worked across several industries and possesses strong knowledge of US GAAP and deep understanding of internal control over financial reporting as well as effective leadership, technical and analytical skills in delivering quality and efficient services to our clients.
Kenny is currently on a rotation with the SEC Group of our National Office which he provides support to international clients for SEC filings such as periodic filings and registration statements.  

Moderator:

ZengYu Chen
ZengYu is a senior audit manager in Grant Thornton’s Silicon Valley office and has fourteen years of accounting and auditing experience at the firm. Before coming to California, he was on an international assignment to the Grant Thornton China firm for almost three years.

ZengYu is a seasoned audit service line practitioner focused on serving clients within the firm’s Consumer and Industrial Products, as well as Technology Industry Practice.  He has successfully led numerous financial statement audits for multinational public and private companies. 
ZengYu has been heavily involved in half a dozen SPAC and traditional IPO audit engagements over the past two years, assisting the clients to achieve high quality financial reporting under tight timelines, and working closely with clients while they navigate through complex technical accounting issues along the way. 

ZengYu has recently completed a long-term strategic secondment with Grant Thornton China. In China, ZengYu participated in a variety of services for public and private companies, including audits, mergers and acquisitions, and SOX internal controls.
